In-House Corporate Counsel

SunSource, headquartered in Addison, Illinois (a suburb of Chicago), is one of North America’s leading fluid power distribution companies, providing products, services and information in hydraulics, pneumatics, automation, and fluid process serving both the industrial, OEM, MRO, and mobile equipment markets.  Due to aggressive company expansion initiatives, the opportunity has arisen for an In-House Corporate Counsel to join our growing organization.

This position involves working directly with senior partners in a broad range of corporate issues and business transactions including full range of legal support for acquisitions, joint ventures, writing and negotiating contracts and agreements. You will provide senior management with effective legal advice and partner with our business unit leaders to proactively assess and manage different risk factors regarding business decisions and operations, and manage routine legal matters. Specific responsibilities include, but not limited to:

  • Provide full range of legal support for acquisitions, divestitures, and equity investments
  • Oversee legal due-diligence on target acquisitions from NDA to integration
  • Assist in the formulation and implementation of strategies for M&A process improvements
  • Draft and negotiate commercial contracts and agreements on behalf of the company
  • Participate in structuring and negotiating complex transactions and set up procedures to reduce risk
  • Counsel senior management related to business practices and policies, and advise on contract status, legal risks, and the legal liabilities
  • Provide general counsel to other areas of business in the management of general liability and regulatory management and compliance
  • Conduct company training on legal topics

Position Requirement
Education – Law Degree from a recognized university

Licensing– Admitted to a recognized Bar Association

Experience – 10+ years of experience in general contract and business law.   Broad experience in all aspects of mergers and acquisitions, including drafting and negotiating acquisition agreements and ancillary documents, and otherwise managing and closing transactions. Experience working with emerging companies, including corporate formation, seed and venture financing, general corporate work, governance and compliance matters. Experience with Securities Law and corporate governance principles for public companies strongly preferred. 

Skill and Knowledge - A candidate for entry into this position is likely to have a Doctorate. This position requires excellent business judgement and the ability to think strategically.  Strong negotiating skills with both legal and financial/commercial issues. Ability to interface effectively with all levels of the organization (executive management, corporate development, finance etc.) and to gain the trust and confidence of others. Ability to work well both independently and as part of a highly collaborative team, in a fast paced environment.

Strong work ethic and ability to make decisions, multi-task, prioritize and follow through on numerous projects simultaneously.
